Article
I: Name
Sec.
1 This organization shall
be known as the University of Tennessee at Chattanooga Student
Chapter of the Institute of Electrical and Electronics Engineers
(IEEE), hereafter referred to as "the Chapter".

2 The organization will not be political, hence no political
issues will be discussed during any meeting.

Article
II: Purpose
Sec.
3 The purpose shall be
the dissemination of knowledge of the theory and practice
of all aspects of electrical engineering and the related
arts and sciences, as well as the furtherance of the professional
development of the Students.
Sec.
4 The organization and operation of the Chapter shall
be in accordance with the Constitution and Bylaws of the
IEEE.

Article
III: Membership
Sec.
5 Membership shall be limited
to undergraduate and graduate students of the University
of Tennessee at Chattanooga.
Sec.
6 The membership shall consist of UTC students who are
members in good standing of the international IEEE.

IV: Dues
Sec.
7 The Executive Committee of the Chapter shall have
the power to levy special assessments or annual dues subject
to approval by a two-thirds majority vote of the membership
of the Chapter present and voting at a duly publicized Chapter
meeting.

V: Officers
Sec.
8 The officers of the Chapter
shall be a President, Vice-President for Public Relations,
Vice President for Membership and Publicity, and Vice-President
for Finance. Additional Vice-President's shall be appointed
as deemed necessary by the elected President.
Sec.
9 The officers will be advised and assisted by a Chapter
Counselor chosen by the Executive Committee from the faculty
and approved by a majority of the membership. The Chapter
Counselor has no set term of office; a new Chapter Counselor
may be selected by the Executive Committee at any time subject
to approval by a majority of the membership of the Chapter
present and voting at the next Chapter meeting.

10 To be eligible for office, a candidate must be enrolled
as a Student member of the IEEE and a member in good standing
in the local Chapter. All officers must be full time students
attending the University of Tennessee at Chattanooga with
a minimum 2.5 GPA and may not be on disciplinary probation.
Sec.
11 Any officer who misses more than three Chapter meetings
or three Executive Committee meetings in his or her term
is subject to dismissal from his/her position by a mandatory
vote of the other officers at the next Executive Committee
meeting, unless excused under special circumstances.
Sec.
12 The term of office shall be one year coinciding with
the UTC academic year, from Summer semester through the
end of the following Spring semester. Election of officers
for the upcoming academic year shall be by majority vote
of the Chapter members present and voting at a duly publicized
Chapter meeting, which shall take place no later than the
last meeting of each Spring semester. Officers are eligible
for re-election to the same or another office if they continue
to meet the qualifications for eligibility.
Sec.
13 If for any reason an office becomes vacant during
the academic year, it shall be filled by an election at
the next regular meeting of the Chapter. The person elected
will serve the balance of the current term and is eligible
for re-election to the same or another office if he or she
continues to meet the qualifications for eligibility. The
Executive Committee may appoint a person to fill a vacant
office on an interim basis until the next Chapter meeting.

VI: Executive Committee
Sec.
14 The management of the affairs of the Chapter shall
be in the hands of the Executive Committee, consisting of
the duly elected officers of the Chapter and the Chapter
Counselor, who shall have no vote except to break a tie.
The President of the Chapter shall be Chairperson of the
Executive Committee.
Sec.
15 The Executive Committee shall be the governing body
of the Chapter and shall transact all business it deems
advisable, including the filling of vacancies in office,
authorization of expenditures, etc.
Sec.
16 The President shall preside at all meetings of the
Chapter. He/she will appoint all committees, subject to
the approval of the Executive Committee, and shall assume
all other executive duties not otherwise delegated.
Sec.
17 The Vice-President for Public Relations shall be
responsible to enhance chapter relations with all other
organizations. He/She shall strive to maintain the best
image of the Chapter. He/She shall also coordinate Chapter
Activities at the request of the President.
Sec.
18 The Vice-President for Membership and Publicity shall
keep a record of the names of all members. He/She shall
keep a record of all activities of the Chapter and shall
report the same to IEEE Headquarters, together with any
special reports required by IEEE Headquarters, within a
reasonable time after each meeting. He/She shall carry on
all other communications necessary to the activities of
the Chapter. He/She shall also be responsible to organize
and promote events that will serve as membership drives
to enroll more members and increase the membership of the
Chapter.
Sec.
19 The Vice-President for Finance shall be an individual
of known integrity, to be given the power to receive all
money and pay all debts of the Chapter authorized by the
Executive Committee only after an approval by the chapter
counselor and 2/3 majority vote of the newly elected officers.
He/She shall be held responsible to keep an exact account
of all transactions of the UTC IEEE Student Chapter account.
Sec.
20 If, at any point, the Vice-President is found in
an act unbecoming to his/her role as a steward of the UTC
IEEE Student Chapter account, he/she shall be removed from
the office and a replacement shall be appointed by the standing
president and ratified as described in Sec. 19 of the UTC
IEEE Constitution.
Sec.
21 At the end of each non consecutive terms or if for
any reason the office of the vice-President of Finance becomes
vacant all transactional power concerning the IEEE Student
account are to be relinquished by the departing officer
(assuming that the incumbent has passed all requirements
described in Sec. 19 in the UTC IEEE Constitution) given
to new incumbent.
Sec.22
A complete biannual report shall be submitted by the President
and the Vice-President for Finance at the last regular meeting
of the Spring and Fall semester which shall be forwarded
by the Vice-President for Finance to the IEEE Manager of
Student Services, upon certification by the Chapter Counselor.

VII: Standing Vice-Presidents
Sec.
23 The following Vice-Presidents shall be elected to
office when deemed necessary by the elected President.
a. Vice-President for Web Resources
b. Vice-Presidents for Technical Affairs
c. Vice-President for Media
Sec.
24 The Vice-President for Web Resources shall be responsible
for maintaining the Chapter website and also taking necessary
steps to enhance and keep the website contemporary.
Sec.
25 The Vice-Presidents for Technical Affairs shall be
responsible for the technical affairs of the Chapter. He/She/They
shall strive to find interesting projects, enter competitions,
put on exhibitions and attend IEEE conferences.
Sec.
26 The Vice-President for Media shall be responsible
to maintain a good Chapter image and persona in the media.
He/She shall assist the other Executive Committee members
to enhance the Chapter's standing in the community.
Sec.
27 In addition to the above standing Vice-Presidents,
the President may appoint any other committees which he/she
may deem necessary.

VIII: Meetings
Sec.
28 The Chapter shall hold
regular and special meetings at such places and times as
designated by the Executive Committee, with a minimum of
three meetings per year.
Sec.
29 Chapter business may be enacted by a majority vote
of the membership of the Chapter present and voting at any
duly publicized Chapter meeting.

IX: Funds
Sec.
30 Upon dissolution of the Chapter, funds will be disbursed
to the department of Electrical Engineering to be used at
the discretion of the department head.

X: Amendments
Sec.
31 The Chapter is empowered
to adopt Bylaws which are consistent with this Constitution.
Sec.
32 The Constitution may be amended by two-thirds of
the members of the Chapter present and voting, provided
the amendment shall have been proposed at least one duly
publicized meeting previous to the time of voting. Such
amendments become effective only upon the approval of the
Executive Committee.
